Expertise
Carolyn has in depth experience in the financial services
industry and advises clients in all areas of commercial lending,
including providing compliance and regulatory advice such as
privacy law and anti-money laundering.
She acts for various bank and non-bank financiers in preparing
loan security documentation, including syndicated and construction
loans. She also acts for borrowers in relation to general corporate
lending and syndicated loans.
Carolyn also provides advice to our corporate and commercial
clients on various matters including commercial contracts,
structuring and re-structuring, trade practices, energy and
resources transactions, trusts and companies, corporate governance
and fundraising.
Experience
Carolyn's recent experience includes:
- advising financial institutions on debt finance, including
construction finance, mezzanine lending and general corporate
lending
- drafting pro forma security documentation for a second tier
lender and advising on its security management arrangements
- providing reports to lenders and borrowers on financial
structuring
- advising a large private company in a syndicated refinance of
approximately $900 million
- acting for a multinational civil contracting company in its
finance arrangements
- advising a major retailer on the impact of the Australian
Consumer Law on its standard form contracts
- advising on various corporate restructuring transactions for a
large private corporate group of companies
- advising listed exploration companies on exploration agreements
with Aboriginal Land Councils
- advising a major provider of educational services regarding an
external investigation into the conduct of certain
students.
Pro bono and Community Work
Carolyn is involved in fundraising for and is a supporter of
various charities, including the Cancer Council.
