Expertise

Elpis acts for many of Australia's major and regional lenders, and her particular focus is commercial and specialist financing.

 

Elpis' expertise covers all forms of securities required to secure the interest of commercial financiers (both direct loans and syndicated deals), including debenture charges, mortgages of assets (including real property, shares, leasehold interests, ships and licenses), tripartite deeds and factoring agreements.

 

Lenders regularly seek Elpis' counsel when assessing the best way to structure transactions from a security perspective. Her clients value her efficient and personable approach.

Experience

Elpis has acted for and advised:

  • a large private company in meeting all lenders' required due diligence conditions, including advising on the facility and security documents required in a syndicated refinance deal totalling $900 million
  • an invoice-discounting financier in re-drafting its security documents, following its amalgamation with a mid tier bank 
  • a mining company in a "reverse" takeover of a US company, involving cross border issues and challenges ($30 million) 
  • many large commercial and residential developers in documenting funding facilities, including negotiations with builders on the lender's behalf, review and approval of pre-sale contracts and pre-lease arrangements  
  • management in a buyout of Australia's largest mortgage originator ($150 million).
