Stephen's expertise covers all aspects of mergers and acquisitions, including schemes of arrangements, public company listings, takeovers, capital raisings, corporate structuring (both solvent and insolvent), restrictive trade practices, commercial contracts, infrastructure and major projects, regulatory enforcement and investigations, energy and resources and climate change.

His practice has both a domestic and international focus. Stephen's clients are increasingly involved in cross border and overseas transactions, and operate across a range of industries. His clients include publicly listed companies, private corporations, business associations, not for profit organisations, accountants and other professional advisers, insolvency practitioners and private clients.

Stephen presents regularly at seminars and training sessions, and contributes articles to various industry publications. He also lectures on Shareholders' Rights and Remedies at the University of Melbourne in the Law School's Graduate Program.

Experience

Stephen's experience includes:

• listing Zeehan Zinc Limited, a Tasmanian based mining and exploration company, on the Alternate Investment Market run by the London Stock Exchange
• advising Ausinca Resources Limited on its involvement in a major overseas iron ore exploration project
• representing the operator of the Victorian Hospitals' Co-generation Project that provided steam and electricity to six major Victorian Hospitals
• acting for PLAN in a private equity deal involving a major Australian financial corporation acquiring a stake in the business
• advising the US Committees of Creditors of Chapter 11 Companies on Australian Asset Sales
• advising Australian motor vehicle manufacturers on the restructure of insolvent key components suppliers

• advising Profile Group Holdings Pty Ltd on the commercialisation of technology and solar energy products.

Pro bono and Community Work

Stephen provides honorary legal and other services to the North Caulfield Maccabi Junior Football Club and the Australia-India Business Council.
